These Professional Purchaser Terms & Conditions (“Terms”) govern access to and use of manhattan-bio.com and related services provided by Manhattan Bio LLC, doing business as Manhattan Bio (“Manhattan Bio,” “we,” “us,” or “our”).
By creating an account, submitting an application, placing an order, or otherwise using the Manhattan Bio platform, you acknowledge that you have read, understand, and agree to these Terms.
1. Professional Purchaser Eligibility
The Manhattan Bio platform is intended solely for licensed healthcare professionals, medical practices, healthcare organizations, and other authorized professional purchasers.
By creating an account or placing an order, you represent that you are legally authorized to purchase the products requested and that all professional, licensing, business, and account information you provide is accurate and current.
You are responsible for maintaining all licenses, registrations, permits, and other authorizations required for your activities.
Manhattan Bio may request documentation reasonably necessary to verify credentials, business information, identity, or purchasing authority and may approve, restrict, suspend, or terminate account access when reasonably necessary.
2. Manhattan Bio’s Role
Manhattan Bio provides a professional purchasing platform through which authorized purchasers may access products and related services offered through independent third parties.
Manhattan Bio does not manufacture, warehouse, package, ship, or fulfill products. These activities are performed by independent manufacturers, suppliers, distributors, logistics providers, and other third-party partners.
Manhattan Bio does not control the purchaser’s independent activities following delivery of a product.
Nothing on the Website should be interpreted as directing, requiring, recommending, or establishing any particular downstream activity involving a product.
3. Purchaser Responsibility and Compliance
The purchaser is responsible for ensuring that its purchase, possession, receipt, storage, transfer, resale, distribution, disposition, or other activity involving products obtained through Manhattan Bio complies with all applicable federal, state, and local laws, regulations, licensing requirements, and professional or business obligations.
The purchaser is responsible for determining which licenses, registrations, permits, approvals, or other authorizations may apply to its own activities.
Information provided through Manhattan Bio is for general informational purposes and does not constitute legal, regulatory, or professional advice.
4. Resale, Transfer and Distribution
Products may be resold, transferred, or distributed only to the extent permitted by applicable law.
The purchaser is solely responsible for obtaining and maintaining any licenses, registrations, permits, or other authorizations required for such activities.
Products may not be sold, transferred, or distributed:
- To a person or entity not legally authorized to receive them;
- In violation of applicable licensing or distribution requirements;
- If the product has been damaged, altered, improperly stored, or otherwise compromised; or
- In connection with false, misleading, deceptive, or unlawful representations.
Manhattan Bio may restrict orders, quantities, shipments, or accounts when reasonably necessary for compliance, supplier requirements, product restrictions, safety, or other legitimate business reasons.
5. Third-Party Products and Services
Products available through Manhattan Bio may be manufactured, supplied, distributed, processed, packaged, or fulfilled by independent third parties.
Manhattan Bio may rely on information provided by manufacturers, suppliers, distributors, or other third parties concerning product descriptions, specifications, availability, packaging, storage requirements, and other product information.
Product packaging, labeling, appearance, specifications, or availability may change without notice.
Manhattan Bio may change suppliers, distributors, logistics providers, or other third-party partners when reasonably appropriate.
6. Orders and Availability
All orders are subject to acceptance, product availability, account eligibility, credential verification where applicable, payment authorization, supplier availability, applicable restrictions, and applicable law.
Submission or payment of an order does not guarantee acceptance or fulfillment.
Manhattan Bio may refuse, limit, delay, or cancel an order for legitimate compliance, regulatory, availability, safety, payment, fraud-prevention, supplier, or business reasons.
Products and pricing may change without notice.
7. Pricing and Payment
Prices are stated in U.S. dollars unless otherwise indicated.
By submitting payment information, you represent that you are authorized to use the payment method provided.
Applicable taxes, shipping charges, handling fees, or other charges may be added where applicable.
Manhattan Bio reserves the right to correct obvious pricing, listing, technical, or clerical errors.
8. Shipping
Manhattan Bio does not directly ship or fulfill products.
Shipping, delivery, receipt, and related matters are governed by Manhattan Bio’s Shipping Policy.
Once an order has entered third-party processing or fulfillment, changes or cancellations may not be possible.
9. Returns, Refunds and Cancellations
Cancellations, returns, replacements, credits, and refunds are governed by Manhattan Bio’s Return & Refund Policy.
Certain products may become non-cancellable, non-returnable, or non-refundable once processing or fulfillment has begun.

Information collected through the Manhattan Bio platform is handled in accordance with Manhattan Bio’s Privacy Policy.

You may not use the Manhattan Bio platform to provide false credentials or business information, circumvent account or purchasing restrictions, engage in unlawful transactions, make false or misleading representations concerning products, interfere with platform security or functionality, or otherwise violate applicable law.
13. Intellectual Property
The Manhattan Bio Website and its content, including trademarks, branding, text, graphics, photographs, designs, software, and other materials, are owned by or licensed to Manhattan Bio and protected by applicable intellectual-property laws.
Website content may not be copied, reproduced, scraped, modified, redistributed, or commercially exploited without prior written permission except as otherwise permitted by law.
14. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE MANHATTAN BIO PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EXCEPT WHERE EXPRESSLY STATED IN WRITING OR REQUIRED BY LAW, MANHATTAN BIO DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms excludes any warranty, duty, or obligation that cannot legally be excluded.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MANHATTAN BIO LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM, AN ORDER, OR A PRODUCT.
Manhattan Bio is not responsible for the purchaser’s independent storage, transfer, resale, distribution, representations, or other downstream activities involving products following delivery.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
16. Indemnification
To the fullest extent permitted by applicable law, the purchaser agrees to indemnify and hold harmless Manhattan Bio LLC and its affiliates, owners, officers, employees, and representatives from third-party claims, liabilities, losses, damages, costs, and reasonable expenses arising from:
- The purchaser’s violation of these Terms;
- The purchaser’s violation of applicable law or licensing requirements;
- Unauthorized resale, transfer, or distribution;
- False, misleading, or unlawful representations made by the purchaser concerning a product; or
- Materially false or misleading information provided to Manhattan Bio.
This provision does not require indemnification for liability that cannot legally be shifted to the purchaser.
17. Incorporated Policies
Use of the Manhattan Bio platform and orders placed through it are also subject, where applicable, to Manhattan Bio’s Privacy Policy, Shipping Policy, and Return & Refund Policy. Those policies are incorporated into these Terms by reference where applicable.
18. Changes to These Terms
Manhattan Bio may update these Terms from time to time.
The current version will be posted on the Website with a revised “Last Updated” date.
Where required by applicable law, additional notice of material changes will be provided.
19. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where another applicable law controls.
Unless applicable law requires otherwise, disputes arising from these Terms will be brought in a court of competent jurisdiction in the State of Wyoming.
20. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
21. Electronic Acceptance
By checking the acceptance box, electronically signing, submitting an application, creating an account, or placing an order, you acknowledge that you have read, understand, and agree to these Terms and intend your electronic acceptance to be legally binding to the extent permitted by law.
